My EZ-Toll Terms and Conditions

1. Acceptance of Terms

By creating an account, accessing, or using the My EZ-Toll platform ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our Service.

If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.

2. Description of Service

My EZ-Toll provides a cloud-based software-as-a-service (SaaS) platform that enables businesses to:

• Manage and track toll transactions across multiple states and toll authorities
• Monitor and process parking violations and camera citations
• Automate billing and invoicing for toll and violation charges
• Generate reports and analytics for fleet management

3. User Accounts

To access certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate and complete.

You must immediately notify us of any unauthorized use of your account or any other breach of security.

4. Subscription and Payment

Access to the Service requires a paid subscription. Subscription fees are based on your selected plan and are billed in accordance with the billing cycle chosen at signup.

All fees are non-refundable except as expressly provided in these terms or required by applicable law.

We reserve the right to change subscription fees upon thirty (30) days' notice. Continued use of the Service after a fee change constitutes acceptance of the new fees.

Failure to pay fees when due may result in suspension or termination of your access to the Service.

5. Use Restrictions

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to the Service, other accounts, or computer systems
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
• Copy, modify, distribute, sell, or lease any part of the Service without our prior written consent
• Use automated systems or software to extract data from the Service (scraping)
• Interfere with or disrupt the integrity or performance of the Service

The Service, including all content, features, and functionality, is owned by Aegis AO Soft LLC and is protected by copyright, trademark, and other intellectual property laws. Aegis AG Soft LLC and all other users use this software solely under a non-exclusive, revocable license granted by Aegis AO Soft LLC.

Your use of the Service does not grant you any ownership rights in the Service or its content. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes.

7. Data Privacy and Security

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AEGIS AO SOFT LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for any claims arising from or related to these terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Aegis AG Soft LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these terms.

11. Termination

You may terminate your account at any time by contacting customer support. Upon termination, your right to access the Service will immediately cease.

We may suspend or terminate your access to the Service at any time for any reason, including breach of these terms, without prior notice.

Upon termination, all provisions of these terms that by their nature should survive will survive, including ownership provisions, warranty disclaimers, and limitations of liability.

These terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law principles. Any disputes arising from these terms or the Service shall be resolved in the state or federal courts located in New Jersey.
